1. Purpose and acceptance

ConformQ is a software-as-a-service (SaaS) for food safety and restaurant operations management, operated by Enrick Gatien, an individual (the “Provider”). ConformQ and MomentumQ are brands used by the Provider. These terms govern access to and use of the Service by the Customer (the business or person that takes out a subscription) and its authorized users. By taking out a subscription or by accessing the Service, the Customer accepts these terms and our privacy policy.

2. The Service

The Service allows the tracking of production, waste, inventory and food safety logs, the production of reports, and the management of locations and users, through a web and mobile application. The Service is provided in multi-tenant mode: each Customer’s data is isolated and inaccessible to other customers. The Service is a management aid; it does not replace the Customer’s professional judgment or the regulatory obligations incumbent upon it, notably in food safety (MAPAQ).

3. Accounts and access

The Customer is responsible for creating, managing and revoking the accounts of its authorized users (administrators, managers, operators), and for the confidentiality of their credentials. A strong password (at least 12 characters, including an uppercase letter, a lowercase letter and a digit) is required; any unauthorized access must be reported without delay. The Customer remains responsible for the activities carried out through its organization’s accounts.

4. Subscription, billing and taxes

The Service is offered by subscription, billed per active location, monthly or annually, in Canadian dollars, at the rates in effect displayed at the time of subscription. A 30-day free trial is offered to new Customers. Payment is made by card, through our provider Stripe. The subscription renews automatically at the end of each period, unless cancelled by the Customer.

The Provider is not currently registered for the goods and services tax (GST) or the Quebec sales tax (QST), under the small supplier rules; accordingly, no sales tax is charged. Should the Provider become registered for these taxes, the applicable taxes would be added to the amounts billed in accordance with the law.

5. Payment default

If a payment fails, automatic reminders are sent through Stripe, without interrupting access to the Service during that period. If the default is not remedied, the subscription may be cancelled; access to the Service is then limited to managing the subscription (reactivation, updating the payment method) until the default is remedied.

6. Ownership of Customer data

The data entered by the Customer and its authorized users (the “Customer Data”) belongs to the Customer. The Provider acquires no ownership rights in this data and processes it solely to provide the Service, in accordance with our privacy policy. The software, the ConformQ brand and the source code remain the property of the Provider.

7. Regulatory retention and reversibility

Certain food safety logs entered in the Service are subject to a regulatory retention obligation arising from the applicable food safety regulations (MAPAQ); they may be retained beyond the termination of the subscription for that reason. Upon termination, the Customer may request a copy of its Customer Data by email to the Provider, subject to the foregoing retention obligations.

8. Acceptable use

The Customer and its users agree to:

  • use the Service only for legitimate business purposes related to their duties;
  • enter accurate data in good faith;
  • not attempt to circumvent security measures or to access data outside their scope;
  • not disrupt, overload or misuse the Service;
  • not resell access to the Service without authorization.

9. Service availability

The Service is provided “as is” and “as available”. We strive to ensure its availability and reliability, without however guaranteeing the total absence of interruptions, errors or data loss. Scheduled maintenance may occur.

10. Limitation of liability

To the extent permitted by law, the Provider’s liability to the Customer, for any cause whatsoever related to the Service, is limited to the amounts paid by the Customer during the current subscription period. The Provider shall not be liable for indirect damages resulting from the use of or the inability to use the Service. The Service is a management aid and does not replace the Customer’s professional judgment or the regulatory obligations incumbent upon it.

11. Privacy and protection of personal information

The processing of personal information is governed by our privacy policy. For the information for which the Customer is responsible (that of its own authorized users), the Customer acts as the responsible party within the meaning of the applicable law on the protection of personal information, and the Provider acts as a subcontractor on the Customer’s behalf.

12. Suspension and termination

The Customer may cancel its subscription at any time; cancellation takes effect at the end of the current paid period. The Provider may suspend or terminate access to the Service in the event of non-compliance with these terms, persistent payment default, or for security reasons, with reasonable notice where circumstances permit.

13. Changes

The Provider may amend these terms. Material changes are communicated to the Customer with reasonable notice. Continued use of the Service after the changes take effect constitutes acceptance of the updated terms.

14. Governing law

These terms are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable therein. Any dispute falls under the jurisdiction of the competent courts of Quebec.
